1. Program Overview

The nbSMS Referral Agent Program ("Program") allows individuals ("Agents") to earn commissions by referring educational institutions ("Schools") to NewBrand Technologies' School Management System ("nbSMS").

2. Eligibility

2.1 Agents must:

• Be at least 18 years old
• Have legitimate connections to educational institutions
• Complete the Agent registration form

2.2 NewBrand Technologies reserves the right to reject applications at its sole discretion.

3. Commission Structure

3.1 Initial Referral Bonus:

• Fixed cash bonus payable upon School's subscription to any premium plan
• Only applicable for first-time subscriptions
• Current bonus amount will be specified in your Agent agreement

3.2 Ongoing Commissions:

• 5% of all subsequent purchases made by referred Schools (including service upgrades, additional modules, etc.)
• Calculated based on net revenue (after taxes and payment processing fees)

4. Payment Terms

4.1 Threshold:

• Minimum withdrawal amount applies (details provided upon approval)
• Accumulated commissions below threshold will roll over monthly

4.2 Processing:

• Payments processed within 7 business days after threshold met
• Agents must submit valid bank/mobile money details
• All payments made in Agent's selected currency (converted at prevailing rates)

4.3 Taxes:

• Agents responsible for all applicable taxes
• NewBrand Technologies may issue tax forms as required by law

5. Referral Qualification

5.1 To qualify:

• School must register using Agent's unique referral link/code
• School must maintain active subscription for ≥30 days
• No existing relationship with nbSMS prior to referral

5.2 Disqualified if:

• School cancels within 30 days
• Fraudulent activity detected
• Self-referral (Agent's own institution)

6. Agent Responsibilities

6.1 Agents must:

• Accurately represent nbSMS features
• Not make false claims about pricing or capabilities
• Disclose affiliate relationship with Schools when required by law

6.2 Prohibited:

• Spamming or unsolicited mass communications
• Using NewBrand Technologies' trademarks without authorization
• Offering cash incentives to Schools for signing up

7. Tracking & Reporting

7.1 Agents receive:

• Real-time dashboard of referred Schools
• Monthly commission statements

7.2 Disputes must be submitted within 15 days of transaction.

8. Termination

8.1 Either party may terminate with 14 days written notice.

8.2 Immediate termination for:

• Violation of these terms
• Fraudulent activity
• Damaging NewBrand Technologies' reputation

8.3 Upon termination:

• All unpaid commissions greater than the threshold and requested, will be paid
• Accrued commissions below threshold are forfeited

9. Modifications

NewBrand Technologies may update these terms with 30 days notice. Continued participation constitutes acceptance.

10. General Provisions

10.1 Governing Law: These terms are governed by Gambian law.

10.2 Independent Contractors: Agents are not employees.

10.3 Entire Agreement: These terms supersede all prior agreements.
